End User License Agreement (EULA) and Service Terms

Ghosty VPN S.L, Calle de Manzanares 4, 28005, Spain is the provider of this desktop application and browser extensions/add-ons, which can be installed on your computer by you. In the following these products are referred to as “software” or “Ghosty Software”.

PLEASE READ THIS END-USER LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING ANY SOFTWARE BY GHOSTY

This End-User License Agreement governs the use of Ghosty and how the services that Ghosty Software provides through its software.

1. Parties

This Agreement is between:

  1. You (the individual user, or the legal entity you represent), and
  2. Ghosty VPN S.L. (Calle de Manzanares 4, 28005 Madrid, Spain; email: [email protected]) (“Ghosty”, “we”, “us”, “our”).

2. Acceptance and Eligibility

By installing, accessing, or using the Service, you agree to this Agreement:

a. agree to be bound by the terms of this EULA
b. own or an authorised user of the computer on which the Ghosty Software will be installed
c. you represent and warrant that: (i) you have the legal right, authority and capacity to enter into this Agreement and to comply with its terms; or (ii) if you are a minor permitted to use the Service under Section 2(d), your parent or legal guardian has reviewed and accepted this Agreement on your behalf and has the legal capacity to do so.
d. You must be at least 18 years old to enter into a binding contract.

Minors (13 years of age or older, or 16 years of age or older in the EEA) may use the Service only with the consent and supervision of a parent or legal guardian. In such cases, the parent or legal guardian must review and accept this Agreement on their behalf.

Notice for Parents or Guardians: By granting your child permission and downloading Ghosty software for them, you agree to the terms of this EULA on behalf of your child. You are responsible for exercising supervision over your children’s online activities. If you do not agree to this EULA, do not let your child use the Ghosty Software or associated features.

If you do not agree to the terms of this EULA, do not install or use the Ghosty Software

Due to continued efforts to enhance the software, the acquisition of new software and business Ghosty may at any time update, or amend the software or these terms that regulate the use of the Ghosty Software. These terms will continue to be applicable until replaced by a newer version. If you do not agree with any of these amendments, you must deinstall or discontinue using the Ghosty Software.

Some annexes or section may, if stated, only apply to certain software and have no effect on other Ghosty Software.
As Ghosty Software is distributed worldwide, the laws of the jurisdiction where you live can vary. The rights that you may have due to local jurisdiction can not be waived through this agreement. In the case were terms of the agreement are unenforceable, the remainder of the agreement remains binding and in effect. You have the right to consult local government agencies or legal guidance to inform yourselves about your rights.

By downloading Ghosty Software you will install software applications, browser extensions and/or modify browser settings. This can apply to a number of Operating Systems or Web Browsers. This can apply to one or more Internet Browser installed on your computer. If you do not wish to have Ghosty on your computer you must not accept its installation or deactivate the update functionality to refrain from further software being installed.

3. License Grant (Software)

In accordance with your consent of the terms and conditions of this EULA, Ghosty grants you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license, to access, download and install the software in its most current generally available version (including all updates thereafter) solely for your lawful, personal, and non-commercial use.

4. Ownership

The Service, software, and all related intellectual property rights are owned by Ghosty and/or its licensors. Except for the limited license granted above, no rights are granted to you.

5. Restrictions

You may not:

  • Reverse engineer, decompile, or attempt to derive source code (except where permitted by mandatory law).
  • Circumvent security or access controls.
  • Use the Service to develop or offer a competing product.
  • Resell, sublicense, rent, or lease the Service unless expressly authorized.

6. Accounts

You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity under your account.
  • Providing accurate account and billing information.

7. Subscription Plans, Billing, Cancellation, and Refunds

7.1 Plans

Ghosty may offer a Free plan (with limited features/locations) and one or more paid subscription plans (e.g., monthly, annual, or biennial). Plan details and pricing are shown during checkout and/or in your account.

If you are under 18, any paid subscription must be purchased and managed by your parent or legal guardian.

7.2 Payment Methods

At this time, we may offer payment by card, SEPA and PayPal. We may add or remove payment methods over time.

Payments are processed by third-party payment processors. Ghosty does not store full payment card numbers.

7.3 Auto-Renewal

Paid subscriptions renew automatically for successive periods matching your subscription term (monthly/annual/biennial), unless you cancel before the renewal date.

7.4 Cancellation (User-Managed)

You must cancel your subscription yourself via your account/profile area (billing/subscription settings).

  • Cancelling stops future renewals.
  • You will typically retain access until the end of your already-paid billing period, unless your account is suspended for breach of this Agreement.

7.5 Refund Policy (Commercial Policy)

As a general commercial policy, subscription fees are non-refundable once a billing period has started. In particular, we do not provide refunds for:

  • Partially used subscription periods,
  • Unused time remaining on a subscription,
  • Renewals that have already been charged,
  • Cancellations made after a billing period begins.

However, Ghosty may, at its sole discretion, grant a refund within 30 days of the initial purchase in cases where:

  • the Service does not function as described, or
  • the user experiences significant technical issues that prevent reasonable use of the Service, and
  • the issue cannot be resolved by our support team.

To request a refund, you must contact our support team at [email protected] within 30 days of your initial purchase, providing a clear description of the issue and any relevant details.

We may request additional information to assess the request.

This refund policy is intended to address genuine service-related problems and is not designed to allow use of the Service for a limited period followed by a refund request.

Nothing in this section limits any rights you may have under mandatory applicable law (including consumer protection laws).

This commercial refund policy is separate from and does not affect any statutory withdrawal rights described in Section 7.6.

7.6 EU/EEA Consumer Withdrawal Rights

If you are a consumer in the EU/EEA, you may have a statutory 14-day right of withdrawal for distance contracts, subject to conditions and exceptions under applicable law.

By purchasing a subscription and requesting immediate access to the Service, you expressly consent to the Service beginning immediately and acknowledge that you may lose your right of withdrawal once the Service has been fully performed, to the extent permitted by applicable law.

If you exercise your right of withdrawal after the Service has begun, you may be required to pay for the proportion of the Service provided up to the time you informed us of your withdrawal, where permitted by law.

7.7 Taxes

Prices may include applicable taxes where stated. Tax treatment may vary by location and legal requirements.

7.8 Payment Disputes and Chargebacks

If you believe a charge is incorrect or unauthorized, contact support promptly. Fraudulent chargebacks or abusive dispute behavior may result in suspension or termination of your account.

8. Acceptable Use

You agree not to use the Service:

  • For unlawful purposes or in violation of applicable laws.
  • To distribute malware, conduct hacking, phishing, or credential theft.
  • To interfere with networks, systems, or services (e.g., DDoS, scanning abuse).
  • To infringe intellectual property rights.
  • To engage in activities that materially degrade Service performance for other users.

We may suspend or terminate accounts involved in abuse, fraud, or violations of this Agreement.

9. Service Availability and Changes

We aim to provide a reliable Service, but we do not guarantee uninterrupted availability. Maintenance, updates, and unforeseen outages may occur.

We may update, modify, or discontinue parts of the Service over time. Where legally required, we will provide notice of material changes.

10. Privacy

Our processing of Personal Data is described in our General Privacy Policy and our Ghosty VPN – Specific Privacy Notice. If there is a conflict between this Agreement and our privacy documents regarding data processing, the privacy documents control.

11. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, or non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Ghosty will not be liable for indirect, incidental, special, consequential, or punitive damages.
  • Ghosty’s total liability for any claim relating to the Service will not exceed the amount you paid to Ghosty for the Service in the 12 months preceding the event giving rise to the claim.

Nothing in this Agreement limits liability that cannot be limited under applicable law.

13. Termination

You may stop using the Service at any time. Paid subscriptions must be cancelled as described above to prevent renewal charges.

We may suspend or terminate your access immediately if you breach this Agreement, engage in fraud, or misuse the Service.

14. Governing Law and Jurisdiction

This Agreement is governed by the laws of Spain, without regard to conflict of law principles. If you are a consumer, you may also benefit from mandatory consumer protection laws of your country of residence.

Courts located in Madrid, Spain will have jurisdiction, except where mandatory law provides otherwise.

15. Changes to This Agreement

We may update this Agreement from time to time. If changes are material, we will provide notice by posting the updated version and updating the “Last Updated” date.
